Agreement to Terms
Welcome to Companybench Limited ("Companybench", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our freelance marketplace platform, including our website, mobile applications, and related services (collectively, the "Platform").
By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of those modifications.
Definitions
"Candidate" refers to individual freelancers who create profiles and seek opportunities through the Platform.
"Vendor" refers to service providers or agencies offering professional services through the Platform.
"Client" refers to businesses or individuals seeking to hire talent through the Platform.
"User" refers collectively to Candidates, Vendors, and Clients who access or use the Platform.
"Services" refers to the marketplace platform and all features, tools, and functionality provided by Companybench.
User Accounts and Registration
Account Creation
To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for any activities or actions under your account.
Eligibility
You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Account Security
You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify Companybench of any unauthorized use of your account or any other breach of security. Companybench will not be liable for any loss or damage arising from your failure to comply with this security obligation.
Platform Services
Companybench provides a marketplace platform that connects Clients with Candidates and Vendors. The Platform facilitates the discovery, engagement, and collaboration between parties but does not employ Candidates or Vendors, nor does it act as an employer or agent for any User.
Companybench is not a party to any agreement between Users and does not guarantee the quality, safety, or legality of services offered or requested through the Platform. Users are solely responsible for evaluating and determining the suitability of potential engagements.
We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Platform without notice or liability.
User Responsibilities
Accurate Information
Users must provide accurate, truthful, and complete information in their profiles, proposals, and communications. Candidates and Vendors must accurately represent their skills, experience, and qualifications. Clients must accurately describe their project requirements and expectations.
Professional Conduct
All Users agree to conduct themselves professionally and respectfully when interacting with other Users. You agree to communicate promptly, honor commitments, and resolve disputes amicably. Harassment, discrimination, or abusive behavior will not be tolerated.
Compliance with Laws
Users are responsible for compliance with all applicable local, state, national, and international laws and regulations, including but not limited to tax obligations, employment laws, data protection regulations, and intellectual property rights.
Payment Terms
Companybench may charge fees for use of the Platform, including subscription fees, transaction fees, or service fees as outlined in our pricing structure. All fees are exclusive of applicable taxes unless otherwise stated.
Payment processing is handled through secure third-party payment processors. By providing payment information, you authorize Companybench and its payment processors to charge the applicable fees to your designated payment method.
Clients are responsible for paying Candidates and Vendors for services rendered according to their mutual agreements. Companybench may facilitate payments but is not responsible for payment disputes between Users.
All fees are non-refundable unless expressly stated otherwise or required by applicable law. Subscription fees are billed in advance and will automatically renew unless cancelled before the renewal date.
Intellectual Property Rights
Platform Ownership
The Platform, including its design, features, functionality, software, and content (excluding User Content), is owned by Companybench and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written permission.
User Content License
You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant Companybench a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Platform.
Work Product Ownership
Ownership of work product created through engagements on the Platform is determined by agreements between Clients and Candidates/Vendors. Companybench claims no ownership rights to such work product unless otherwise agreed in writing.
Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Violating any applicable laws, regulations, or third-party rights
- Posting false, misleading, or fraudulent information
- Circumventing platform fees or payment processes
- Harassing, threatening, or discriminating against other Users
- Uploading malicious code, viruses, or harmful content
- Attempting to gain unauthorized access to the Platform or other Users' accounts
- Using the Platform for illegal activities or unauthorized commercial purposes
- Scraping, data mining, or harvesting information from the Platform
- Impersonating another person or entity
- Posting content that infringes intellectual property rights
- Interfering with the proper functioning of the Platform
Account Termination
You may terminate your account at any time by contacting us or using the account closure feature in your settings. Upon termination, your right to access the Platform will immediately cease.
We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other Users, or is otherwise inappropriate. This includes, but is not limited to, violations of our policies, fraudulent activity, or failure to pay fees.
Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including payment obligations, intellectual property provisions, disclaimers, and limitations of liability.
Disclaimers and Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Companybench does not warrant that the Platform will be uninterrupted, error-free, or secure, or that defects will be corrected. We make no warranties about the accuracy, reliability, or completeness of content on the Platform or the quality of services provided by Users.
Companybench does not conduct background checks on Users and makes no representations about their qualifications, skills, or reliability. You are solely responsible for evaluating and verifying the credentials of Users you engage with.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANYBENCH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL COMPANYBENCH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE AMOUNT YOU HAVE PAID TO COMPANYBENCH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, Companybench's liability will be limited to the fullest extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Companybench, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another party.
Dispute Resolution
Informal Resolution
In the event of any dispute, claim, or controversy arising from these Terms or the Platform, you agree to first contact Companybench to attempt to resolve the dispute informally. We will work in good faith to resolve the matter through negotiation.
Arbitration
If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority. The arbitration shall be conducted in Pune, Maharashtra, India, and judgment on the award may be entered in any court having jurisdiction.
Class Action Waiver
You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the Platform.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will post the updated Terms on the Platform and update the "Last Updated" date. We may also notify you through email or Platform notifications.
Your continued use of the Platform after changes to the Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account.
General Provisions
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Companybench's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Companybench regarding the Platform and supersede all prior agreements and understandings.
